Terms of Service

These Terms of Service ("Terms") govern your access to and use of Convrt ("Service"). By using the Service, you agree to these Terms. If you don't agree, don't use the Service.
1. Your account
You must be at least 16 years old and provide accurate, current information when you sign up. You're responsible for everything that happens under your account — including keeping your password secret, notifying us immediately if you suspect it's been compromised, and ensuring that anyone you share access with also complies with these Terms. If you create an account on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Subscriptions and billing
Convrt offers a free tier and paid subscription tiers. Paid subscriptions are billed in advance (monthly or annually) and renew automatically until you cancel. You can cancel anytime from your dashboard; cancellations take effect at the end of the current billing period and we don't issue prorated refunds for partial periods. Trial periods, if offered, are subject to the specific trial terms shown at sign-up and convert to a paid subscription unless you cancel before the trial ends. All payments are processed by Stripe, and your card details are held by Stripe — not by us.
We may change pricing on at least 30 days notice, communicated by email and via the dashboard. Price changes never apply retroactively to your current billing period; they apply only at your next renewal. Annual plans are honored at the rate in effect when you started or renewed them.
3. Acceptable use
You agree NOT to use the Service to:
- Host, distribute, or generate content that is illegal, hateful, defamatory, harassing, or that infringes someone else's intellectual property, privacy, or other rights.
- Send spam, run phishing campaigns, impersonate any person or organization, or facilitate fraudulent activity of any kind.
- Reverse-engineer, decompile, or attempt to derive the source code of the Service, scrape it at scale beyond reasonable usage, or attempt to circumvent rate limits or security controls.
- Process the personal data of end-visitors in violation of any law that applies to you, including the GDPR, UK-GDPR, CCPA, CPRA, LGPD, PIPEDA, or any equivalent data-protection regime.
- Generate AI output that promotes illegal activity, sexual content involving minors, hate-targeted violence, or step-by-step instructions for creating weapons, malware, or biological/chemical agents.
- Use the Service to compete with us by building a similar AI-qualification product based on observation of how Convrt works.
We monitor for these violations using a combination of automated signals and human review. We may suspend or terminate accounts that violate these rules, with notice where reasonable, and without notice when the violation is severe or ongoing.
4. Your content
You retain ownership of everything you upload, configure, or generate through the Service ("Your Content"), including site configurations, widget settings, conversation transcripts captured on your behalf, and any custom prompts you author. You grant us a limited, worldwide, royalty-free license to host, process, transmit, and display Your Content solely for the purpose of operating the Service for you. We don't claim ownership of Your Content, we don't sub-license it to third parties (beyond the sub-processors listed in our Privacy Policy), and we don't use it to train our AI models or any third party's models.
5. The Service
We work hard to keep the Service available and bug-free, but we provide it "as is" and "as available" without warranties of any kind, express or implied. We don't guarantee uninterrupted availability, that the AI's responses will always be accurate, complete, or appropriate for your use case, or that the Service will meet your specific business goals. Don't use Convrt for any safety-critical, medical, legal, or financial-advice decisions; the AI is a marketing tool, not a substitute for professional judgment.
6. Intellectual property
The Convrt name, the Convrt logo and brand mark, the dashboard UI, the widget UI, the documentation, and the underlying software, designs, and algorithms are owned by Convrt or our licensors. You may not copy, modify, redistribute, or create derivative works of them except to the limited extent required to use the Service as it is intended to be used. We grant you a non-exclusive, non-transferable license to embed the widget on websites you operate, for as long as your subscription is active.
7. Termination
You may delete your account anytime from the dashboard, no questions asked. We may suspend or terminate your account if you breach these Terms, if you fail to pay an invoice for more than 14 days after it is due, or if we are required to do so by law. We will give you notice where reasonable, except in cases of severe or ongoing violation where notice would be impractical or counterproductive. On termination, you lose access to the Service immediately; your data is retained for up to 90 days for backup-rotation purposes and then permanently deleted as described in our Privacy Policy.
8. Limitation of liability
To the maximum extent permitted by applicable law, neither Convrt nor any of its officers, employees, contractors, or affiliates are liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of (or inability to use) the Service — including lost profits, lost revenue, lost data, business interruption, or reputational harm — even if we have been advised of the possibility of such damages. Our total cumulative liability to you in any 12-month period is capped at the greater of one hundred US dollars ($100 USD) or the total amount you actually paid us during that 12-month period.
9. Indemnification
You agree to indemnify, defend, and hold Convrt and its team harmless against any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising from (a) your breach of these Terms or our Privacy Policy, (b) Your Content, (c) your use of the Service in a way that infringes someone else's rights, or (d) your violation of any law, regulation, or third-party agreement. We reserve the right to assume the exclusive defense of any matter for which you are obligated to indemnify us, in which case you will cooperate with our defense at your expense.
10. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to personal jurisdiction in those courts. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect its intellectual-property rights or confidential information.
11. Changes to these Terms
We may update these Terms occasionally as the Service evolves or as the legal environment changes. If we make material changes, we will email you at the address on file and post a notice in the dashboard at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you don't agree with a change, your remedy is to delete your account before the effective date.
